Hindustan Unilever set to acquire beauty brand Minimalist for USD 320M

INDIA – Hindustan Unilever Limited (HUL), a leading FMCG company, has received approval from the Competition Commission of India (CCI) to acquire a 90.5% stake in Minimalist, a beauty and personal care brand for ₹2,670 crore(USD 320 million ). 

The deal values Minimalist’s parent company, Uprising Science, at a pre-money enterprise valuation of ₹2,955 crore(USD 341.6 million). 

As per the share purchase and subscription agreement, HUL plans to acquire the remaining 9.5% stake within two years. 

The transaction is expected to be completed in Q1 of FY 2026.

Minimalist, known for its science-backed skincare products, has gained significant traction in the premium beauty segment. 

The acquisition aligns with HUL’s strategy to strengthen its Beauty & Wellbeing portfolio and expand its presence in high-growth categories. 

The deal also includes a primary infusion of ₹45 crore(USD 5.2 million) to support Minimalist’s operations and growth.

Founded in Jaipur, Minimalist specializes in skincare, body care, baby care, and hair care products. 

The brand has witnessed remarkable growth, with its revenue from operations increasing by 89% year-on-year to ₹347.4 crore(USD 40.2 million) in FY24. 

Its net profit surged by 110% to ₹10.9 crore(USD 1.26 million).

It also positions HUL to compete more effectively in the growing D2C beauty market, which is witnessing increased demand for innovative and sustainable products.

This acquisition is part of HUL’s broader strategy to strengthen its presence in high-growth categories and meet evolving consumer preferences.

HUL recently acquired a majority stake in Nutrafol, a leading hair wellness brand, to expand its footprint in the premium beauty and wellness segment.

 Nutrafol specializes in science-backed solutions for hair thinning and overall hair health, catering to a growing demand for personalized and effective wellness products.

These strategic moves position HUL to cater to the increasing demand for science-driven, sustainable, and innovative personal care solutions, reinforcing its leadership in the beauty and personal care industry.
