This transaction marks a key milestone in Edgewell’s strategic overhaul.

USA – Edgewell Personal Care Company has finalized the USD 340 million sale of its feminine care business to Essity, a prominent Swedish health and hygiene firm.
The deal, announced from Shelton, Connecticut, on February 2, 2026, transfers Edgewell’s full feminine care portfolio to Essity.
Edgewell plans to deploy the net proceeds, after taxes and fees, primarily to strengthen its balance sheet and eliminate its U.S. revolving credit facility debt, while fueling growth in the shave, sun, and skin care, and grooming segments.
President and CEO Rod Little stated, “By simplifying our portfolio and focusing our resources on shave, sun and skin care, and grooming, we are positioning Edgewell to be a more focused, agile and durable personal care company.”
“The proceeds from this transaction will strengthen our balance sheet, support debt reduction and reinvestment behind our core brands and innovation pipeline, as we look to drive sustainable growth and long‑term value for shareholders, while our Feminine Care colleagues gain new opportunities as part of Essity, a global leader in health and hygiene.”
It enables a sharper focus on high-potential categories, debt relief, and innovation, while opening new opportunities for feminine care staff across Essity’s global umbrella.
Edgewell and Essity have signed a Transition Services Agreement covering accounting, IT, quality control, operations, supply chain, and sales support for at least one year post-closing.
This ensures continuity for employees, customers, and consumers during the shift.
The company will issue unaudited pro forma condensed consolidated financials under Article 11 of Regulation S-X, treating the feminine care unit as a discontinued operation.
Expect this in a Form 8-K by February 6, 2026, with more details on the Fiscal 2026 Q1 earnings call on February 9.
Statements regarding proceeds use, stakeholder benefits, financial outcomes, and positioning entail risks such as competition, customer shifts, raw material costs, and talent retention, as outlined in Edgewell’s Form 10-K for the year ended September 30, 2025.
