Ultra Beauty Care’s manufacturing unit acquired by Hindustan Foods in USD 2.4M deal
Plans include building a beverage unit on spare land to boost collaboration and enhance HFL’s portfolio amid rising demand for sustainable cosmetics.
INDIA – Hindustan Foods Ltd has signed a Business Transfer Agreement (BTA) with Ultra Beauty Care Pvt Ltd to acquire its ayurvedic, herbal beauty care, and cosmetics manufacturing facility for Rs 19.9 crore (USD 2.4 million).
The BTA was executed on March 23, 2026, targeting the business undertaking at C-15, Five Star Industrial Area, MIDC Shendra, Aurangabad, Maharashtra, a 6-acre site specializing in contract manufacturing for FMCG and D2C brands.
The cash consideration of Rs 19.9 crore (USD 2.4 million) is subject to customary adjustments, with completion expected in Q1 of FY 2026-27 pending BTA conditions.
This move aligns with Hindustan Foods’ expansion into beauty and personal care (BPC) contract manufacturing, leveraging the facility for ayurvedic and herbal product lines while eyeing export growth.
At a market cap of Rs 5,820 crore (USD 698.8 million), the deal positions HFL for diversified FMCG growth in India.
Ultra Beauty Care Pvt Ltd is an Indian-based manufacturer specializing in Ayurvedic and cosmetic personal care products.
The company operates from Aurangabad, Maharashtra, and is part of the Machhar Group of Industries.
It positions itself as both a contract manufacturer and a private labeller, offering a wide portfolio that spans baby care, skincare, haircare, and general personal care.
Its product range includes baby shampoos and creams, face creams, sunscreens, petroleum jelly, peel-off masks, scrubs, hair oils, shampoos, conditioners, body lotions, lip balms, shower gels, and massage oils.
