UK – BSF Enterprise PLC, a leading innovator in tissue-engineered materials, has entered into heads of terms with SCHAKAU Managementberatung GmbH to exclusively commercialise its proprietary bioactive peptide ETSYL® across the global cosmetics, skincare, dermocosmetics and luxury beauty markets.
Under the agreement, SCHAKAU receives exclusive worldwide rights for an initial 10-year term, conditional on meeting agreed annual volume targets following a 12-month ramp-up phase.
SCHAKAU has committed approximately €300,000 (USD 327,000) to fund market development activities, including clinical claim substantiation, regulatory compliance work, brand creation and international distribution set-up.
The partner will also bear all downstream product compliance costs, such as finished product notifications (including CPNP/SCPN portal filings), Cosmetic Product Safety Reports (CPSR), Responsible Person (RP) representations and clinical efficacy testing.
BSF will retain 100% ownership of all intellectual property, patents, trade secrets and manufacturing know-how relating to ETSYL®, while supplying the compliant bioactive ingredient through its wholly owned subsidiary, 3D Bio-tissues Ltd.
This arrangement creates a direct manufacturing revenue stream for BSF, with initial raw material supply revenues expected during the 12-month product compilation phase ahead of retail launch.
Net licensing income from third-party cosmetic brand integrations will be split 50:50 between BSF and SCHAKAU after deducting external compliance costs and international patent prosecution and maintenance expenses.
Strategic rationale and market positioning
ETSYL® was originally developed to stimulate cell growth and collagen production in tissue engineering applications, but BSF has repurposed it as a high-value active ingredient for premium anti-ageing skincare.
SCHAKAU plans to introduce ETSYL® first through its HANDS OF GOD luxury skincare brand before pursuing broader B2B licensing opportunities with global cosmetics companies.
Chief executive Che Connon described the partnership as a capital-light route for BSF to access the global luxury skincare market while retaining full ownership of the underlying technology and generating both supply and licensing revenues.
The structure allows BSF to leverage SCHAKAU’s commercial expertise and investment in regulatory, clinical and distribution capabilities without diluting its IP position or taking on significant upfront commercialisation costs.
